UDR, Inc. is now hiring a Corporate Paralegal to join our team at our corporate office in Highlands Ranch.

GENERAL SUMMARY OF DUTIES: Provides support in connection with corporate legal matters with emphasis on corporate formation and maintenance; provides assistance on acquisitions/mergers/dispositions/finance transactions. This is not a litigation-focused position.

ESSENTIAL FUNCTIONS:

  1. Prepare and file documents for the formation, qualification, and dissolution of corporate entities; draft organizational documents including articles of incorporation, limited liability company agreements, limited partnership agreements; prepare annual minutes, resolutions, consents; prepare articles of merger; prepare assignments; maintain the corporate record books for all entities; prepare and maintain legal entity organizational charts as directed.
  2. Assist the acquisitions, development, and dispositions teams as requested, including research in the real property records, researching and resolving title matters including easements, lot line adjustments, clearing title, reviews and drafts real property documents, as requested.
  3. Apply for business licenses and various permits for all properties.
  4. Assist the finance department on all debt transactions providing legal entity documentation, organizational charts, obtaining good standings, UCC searches; prepare Secretary Certificates; respond as needed to lender's counsel regarding ownership and entity documentation; assist with documentation required for opening bank accounts; responsible for all Dodd-Frank compliance including obtaining and maintaining CICI numbers for entities identified by the Treasurer as participants in ISDA swaps; assist with any additional tasks for the closings as directed by the VP - Treasurer.
  5. Responsible for maintaining the company's records retention program which includes working with company personnel to appropriately store new records with off-site storage vendor; responsible for searching and retrieval of documents as requested; responsible for destruction of records; responsible for reviewing and processing of monthly invoices.
  6. Backup to Compliance Administrator for SEC filings; provide information and responses to both internal and external auditors for SOX compliance.
  7. Conduct legal research, as requested. Manage legal vendor electronic billing system.
  8. Assist corporate counsel with legal documents, correspondence, reports, and memoranda.
  9. Perform other duties as assigned or as necessary.

PERFORMANCE REQUIREMENTS:

  • Knowledge and appreciation of business concepts. Knowledge of organizational policies and procedures. Ability to apply policies and procedures to solve everyday issues.
  • Must have an understanding of regulatory filings. Familiarity with real estate documentation and real estate terminology and law, preferred. Must have knowledge of legal concepts as well as an ability to identify complex legal issues. Ability to concisely express complex legal issues in plain language to site staff who do not necessarily have legal training.
  • Knowledge and understanding of business research principles, processes, and techniques. Performs duties that require strong comprehension, analytical, research, composition, and organizational skills. Performs duties that require considerable initiative, independent judgment, and strong communication skills.
  • Ability to read, analyze, and interpret legal documents. Ability to define problems, collect data, establish facts, and draw valid conclusions. Ability to exercise initiative, problem solving and decision making skills. Ability to work in a fast paced environment and handle multiple projects simultaneously to meet critical deadlines.
  • Ability to create, compose, and edit written materials. Polished interpersonal skills. Ability to respond to common inquiries or complaints from customers, regulatory agencies, or members of the business community. Ability to effectively present information to senior management. Ability to work in conjunction with Company managers and employees. Excellent verbal and written communication skills.
  • Must be proficient at Microsoft Word, Outlook and Excel. Must be skilled in word processing, drafting correspondence and legal documents. Matter management and document management software experience, a plus.

TYPICAL PHYSICAL DEMANDS: Occasionally lifting items weighing up to 30 lbs. Requires eye-hand coordination and manual dexterity sufficient to operate a keyboard, photocopier, telephone, calculator, and other office equipment. Requires normal range of hearing and eyesight to record, prepare, and communicate appropriate reports. Regular and consistent attendance on the job is an essential function.

TYPICAL WORKING CONDITIONS: Normal office environment. This position is 100% in office during training, and thereafter, will have the potential to work from home one day per week, with the other four days in office.

EDUCATION AND EXPERIENCE:

1. Certified Paralegal (CP) preferred.
2. Minimum of five to seven years of significant and direct legal experience required.
3. Experience with corporate filings and corporate record books, required.
4. Must have and maintain a valid driver's license unless otherwise noted.

Salary Range:
* $76,000.00/yr. - $95,000.00/yr., depends on experience

Bonus Potential:
* Eligible for 10% annual bonus potential, based on personal and company performance
